Campus Representatives - Sales & Marketing Internship Terms & Conditions


Services
 Applying intern, pursuant to these terms and conditions, will provide marketing and selling of MyPersonalBroadcast services to MarketSquare Solutions (“MarketSquare”) and forms an agreement with MarketSquare beginning on the date of the acceptance of these terms and conditions and ending 90 days hence.

By agreeing to these terms and conditions, Intern confirms that he is a student in good standing at an institution of higher learning in the United States of America. During the term of the agreement, Intern will provide marketing and selling of MyPersonalBroadcast services in the campus area of his institution of higher learning through personal interactions and distribution of marketing materials developed by MarketSquare.

Compensation
Once confirmed as an Intern for MarketSquare, Intern’s current email address (as shared with MarketSquare in forming this agreement) will be his Unique ID. Intern will earn a $10 commission for each new MyPersonalBroadcast account that is created using the Intern’s Unique ID. These new accounts must be created with a valid credit card and must be active and fully paid for a two-month period before the commission is valid. MarketSquare is not liable for any Unique IDs incorrectly entered by any new customer and Intern will not receive a commission for any new customer who uses a promotion code for any other discount. Intern will be able to access information on all sales made using his/her Unique ID via the MyPersonalBroadcast.com website. Payments are made via PAYPAL ONLY. No other form of payment will be made. Intern may create a PayPal account by visiting www.paypal.com. Payments will be processed on the 1st and 15th of every month. Intern will determine his/her own marketing plan and will be responsible for costs to execute this plan. MarketSquare will not reimburse Intern for any marketing costs without prior written consent.

Code of Conduct
Intern will conduct himself in a professional manner and will not make any statement, or take any action that could reasonably be expected to reflect poorly on MarketSquare or on the reputation of MyPersonalBroadcast services. Intern is responsible for being familiar with MyPersonalBroadcast product offerings and service terms and conditions. Intern will receive training and reference materials detailing product information and his expected personal conduct while fulfilling services to MarketSquare. Intern is responsible for reviewing this information and adhering to the guidelines provided at all times during this agreement. Intern agrees to conduct conversations on behalf of MarketSquare in a professional manner, with no rudeness, racial slurs, jokes, signs, pranks or sexual innuendos. No inappropriate written or verbal communication will be tolerated. An intern found to be under the influence of drugs or alcohol during the course of providing services to MarketSquare under this agreement is subject to disciplinary action, including termination. Not following this code of conduct constitutes reason enough to terminate participation in the project.

Independent Contractor
It is understood that the Intern is an independent professional contractor and that the Intern will not in any event be construed or hold himself to be an employee of MarketSquare. It is also agreed that the Intern, as an independent contractor, is not restricted to working exclusively for MarketSquare during the term of the agreement. Intern is responsible for Workers Compensation, Disability, Unemployment, Automobile Insurance, and any other insurance required by the state in which he carries out his responsibilities for MarketSquare. Intern is also responsible for payment of State and Federal taxes, and any other applicable tax. Intern is not eligible for any benefits MarketSquare may provide for its employees. MarketSquare will furnish the Intern annually with a copy of IRS form 1099 (statement for recipients of miscellaneous income), the original of which MarketSquare will send to the IRS as required by law.

Proprietary Information
Both parties acknowledge that during the course of Intern’s service to MarketSquare, MarketSquare may disclose to Intern a substantial amount of Proprietary Information, or Intern may acquire Proprietary Information in connection with, or as a result of, Intern’s services to MarketSquare. Intern fully understands that the maintenance of such information must be held in strict confidence and the confinement of its use to MarketSquare is of vital importance to MarketSquare. Intern recognizes that all records and copies of records touching MarketSquare’s operations, investigations, and business made or received by Intern during the period of this agreement are and will be the exclusive property of MarketSquare and Intern will keep the same at all times in Intern’s custody and subject to Intern’s control, and will surrender the same to MarketSquare immediately upon the request of MarketSquare or upon completion of the agreement.

Marketing Materials
Any marketing materials or advertising cannot be used without first submitting a sample to MarketSquare and obtaining written approval. Intern agrees not to create, publish, transmit or distribute, under any circumstances, any bulk electronic mail messages that would be considered as SPAM. Intern agrees not to SPAM blogs, online forums, or newsgroups. Failure of Intern to abide by this NO SPAM policy will be deemed a material breach of the agreement and will terminate any and all rights and claims to any commissions. Materials provided by MarketSquare to Intern, and by Intern to MarketSquare, will not knowingly contain libelous, injurious, or unlawful materials and will not knowingly violate or in any way infringe upon the personal or proprietary rights of third parties.

Indemnification
Intern indemnifies and holds harmless MarketSquare from any damages, claims, liabilities, and costs, including reasonable attorney fees, which may arise from the services provided by the Intern, other than any damages, claims, liabilities and costs which arise directly from content developed and approved by MarketSquare and provided to Intern.

Termination
MarketSquare may terminate this agreement without cause upon notification to the other party. Email communications represent valid written communication. The agreement shall be terminated automatically in the event of Intern’s death. On termination of this agreement, MarketSquare’s obligation to pay Intern, except for services already accrued or incurred, will forthwith cease and terminate. If mutually agreeable to MarketSquare and Intern, this agreement may be extended. Neither party to this agreement may assign, sell or transfer any part thereof to any other firm or entity without first obtaining the written permission of the other party hereto.

Governing Jurisdiction
The agreement shall be governed and construed in accordance with the laws of the State of Georgia applicable to contracts made and fully performed therein, and the state and federal courts located in Georgia shall have exclusive jurisdiction of all suits and proceedings arising out of or in connection with this agreement.

Intern Representations and Warranties
Intern hereby represents and warrants to MarketSquare, and agrees that he will comply with all applicable laws, rules, regulations and Internet etiquette in the conduct of business; and Intern will not make any representations concerning MarketSquare or MyPersonalBroadcast services except those that have been approved or published by MarketSquare.

Disclaimer of Warranty
Intern agrees to use all services and any information obtained through or from MarketSquare at Intern’s own risk. None of MarketSquare, its subsidiary or affiliated corporations, or any of their respective employees, officers, directors, shareholders, affiliates, agents, suppliers, third-party information providers, licensors or the like (“MarketSquare person”) make any warranties of any kind, either expressed or implied, including but not limited to warranties of merchantability or fitness for a particular purpose, or non-infringement, for the services that MarketSquare or MyPersonalBroadcast provides. No MarketSquare person makes any warranties that the services will not be interrupted or error-free; nor do they make any warranties as to the results that may be obtained from the use of the services or as to the accuracy, reliability or content of any information or services contained in or provided through the services. No advice or written information given by any MarketSquare person will create a warranty.
